BUDDY UP FOR LIFE, INC.: TERMS OF USE

These Website Terms of Use (“Terms”) govern your access to and use of the website operated by Buddy Up for Life, Inc., an Ohio nonprofit corporation and tax-exempt organization described in Section 501(c)(3) of the Internal Revenue Code (26 U.S.C. § 501(c)(3)) (“Buddy Up for Life,” “we,” “us,” or “our”), including https://buddyupforlife.org/ and any related webpages, online forms, registration portals, donation pages, content, features, and services made available through the website (collectively, the “Site”). “You” or “you” refer to each person who accesses or uses the Site.

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Site.

1. Eligibility

The Site is intended for use by individuals who are capable of entering into a legally binding agreement under applicable law. If you are under the age of majority in your jurisdiction, you may use the Site only with the involvement and permission of a parent or legal guardian. Parents and legal guardians are responsible for supervising a minor’s use of the Site. If you use the Site or submit information on behalf of another person, including a minor or an individual for whom you are a parent, guardian, caregiver, or authorized representative, you represent that you have the authority to do so.

2. Changes to These Terms

We may revise these Terms from time to time. When we make changes, we will post the revised Terms on the Site and update the Effective Date above. Your continued use of the Site after revised Terms are posted constitutes your acceptance of the revised Terms. Changes will not apply retroactively to a dispute that arose before the revised Terms were posted unless applicable law permits otherwise.

3. Changes to the Site

We may, at any time and without liability:

modify, suspend, restrict, or discontinue any part of the Site;
change the content, features, programs, products, or services available through the Site;
restrict access to any part of the Site; or
remove or refuse to display any content.

We do not guarantee that the Site or any particular feature will always be available.

4. Informational and Educational Purposes

The Site provides information about Buddy Up for Life, its mission, programs, events, services, fundraising activities, and other matters of potential interest to participants, families, volunteers, donors, sponsors, and members of the public. Content on the Site is provided for general informational and educational purposes only. Although we seek to provide useful and accurate information, we do not warrant that Site content is complete, accurate, current, or suitable for any particular purpose. Program descriptions, schedules, locations, instructors, eligibility criteria, fees, and other details may change. Information posted on the Site does not create a binding obligation to offer or continue any particular program, event, service, or benefit.

5. No Medical or Professional Advice

Buddy Up for Life provides adaptive programs designed to promote health, wellness, independence, communication, social engagement, and meaningful friendships. However, Buddy Up for Life is not a healthcare provider, and the Site does not provide medical, psychological, therapeutic, rehabilitation, legal, financial, or other professional advice. Information available through the Site is not intended to:

diagnose, treat, cure, or prevent any medical or psychological condition;
replace advice from a qualified healthcare or other professional;
establish a healthcare-provider or other professional relationship; or
determine whether an individual may safely participate in a particular activity.

You should consult an appropriate healthcare professional before beginning or changing an exercise, fitness, wellness, or other activity program, particularly when a participant has a medical condition, disability, injury, physical limitation, or other relevant health consideration. Never disregard professional medical advice or delay seeking medical treatment because of information available through the Site. In the event of a medical emergency, call 911 or seek appropriate emergency assistance.

6. Program and Event Registration

The Site may permit you to register yourself or another person for programs, classes, camps, events, volunteer activities, or other services. You agree to provide accurate, current, and complete information in connection with any registration. You are responsible for promptly updating information when it changes. Submission of a registration form does not guarantee acceptance, participation, placement, or availability. Participation may be subject to:

availability and capacity limitations;
age, location, or eligibility requirements;
completion of additional forms;
payment of applicable fees;
execution of waivers, releases, consents, medical authorizations, codes of conduct, or other agreements; and
compliance with program-specific policies and instructions.

If separate terms, waivers, releases, or policies apply to a program or event, those additional terms will govern your participation. If there is a direct conflict between these Terms and a program-specific agreement, the program-specific agreement will control with respect to that program. Buddy Up for Life may cancel, reschedule, relocate, modify, or discontinue a program or event. Refunds, credits, or transfers, if any, will be governed by the policies disclosed in connection with the applicable registration.

7. Payments and Donations

The Site may allow you to pay program fees, purchase items, make charitable contributions, sponsor programs, or complete other transactions. You represent that:

the payment information you provide is accurate and complete;
you are authorized to use the applicable payment method; and
you will pay all charges incurred through your transaction.

Payments may be processed by third-party payment processors. Your use of a third-party payment service may be subject to the processor’s separate terms and privacy practices. Unless otherwise stated, donations are voluntary and nonrefundable. Buddy Up for Life will use donations in furtherance of its charitable mission and may use unrestricted donations where they are most needed, subject to applicable law and any written restrictions expressly accepted by Buddy Up for Life. Nothing on the Site constitutes tax advice. You should consult your tax adviser regarding the deductibility or other tax treatment of any payment or contribution.

8. Permitted Use of the Site

Subject to these Terms, Buddy Up for Life grants you a limited, personal, revocable, nonexclusive, nontransferable right to access and use the Site for lawful, noncommercial purposes. You may view, download, or print reasonable portions of publicly available Site content solely for your personal, informational, and noncommercial use, provided that you do not remove or alter any copyright, trademark, attribution, or other proprietary notice. No other right or license is granted by implication, estoppel, or otherwise.

9. Prohibited Conduct

You may not use the Site to:

violate any applicable law, regulation, court order, or legal right;
infringe, misappropriate, or violate another person’s intellectual property, privacy, publicity, contractual, or other rights;
submit false, misleading, fraudulent, defamatory, threatening, harassing, discriminatory, obscene, sexually explicit, or otherwise unlawful content;
exploit, endanger, harass, intimidate, or harm a minor, program participant, volunteer, employee, or other person;
impersonate another person or organization or misrepresent your identity, authority, or affiliation;
collect, disclose, or misuse personal information about another person without proper authorization;
transmit spam, unsolicited promotions, chain letters, pyramid schemes, or unauthorized commercial solicitations;
upload or transmit malware, viruses, corrupted files, malicious code, or other material that may damage or interfere with the Site or another system;
interfere with the Site’s operation, security, accessibility, performance, servers, or networks;
attempt to gain unauthorized access to the Site, an account, a database, or another system;
bypass, disable, or circumvent a security, access-control, rate-limiting, or technological measure;
use a robot, scraper, crawler, data-mining tool, artificial intelligence system, or other automated means to access, extract, copy, index, or reproduce Site content, except for generally available search-engine indexing that complies with our instructions;
reverse engineer, decompile, disassemble, or attempt to discover source code or underlying technology used by the Site, except to the extent such a restriction is prohibited by applicable law;
frame, mirror, inline link, or otherwise display the Site or its content within another website, application, or service without our written permission;
use Site content to train, develop, enhance, or test an artificial intelligence or machine-learning model without our prior written permission;
use Buddy Up for Life’s name, logo, marks, content, or reputation in a manner that suggests an unauthorized affiliation, sponsorship, or endorsement; or
assist or encourage another person to engage in prohibited conduct.

10. User Submissions

The Site may allow you to submit registrations, messages, comments, testimonials, photographs, videos, documents, stories, feedback, suggestions, or other content (“User Content”). You retain any ownership rights you have in your User Content. By voluntarily submitting User Content to the Site for publication, promotion, fundraising, community engagement, or similar public-facing use, you grant Buddy Up for Life a nonexclusive, worldwide, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, display, perform, distribute, and create derivative works from that User Content in any media for Buddy Up for Life’s charitable, educational, promotional, fundraising, and operational purposes. The foregoing license applies only to User Content voluntarily submitted for such use and does not, by itself, authorize public use of confidential registration, medical, payment, or other sensitive information submitted for administrative purposes. You represent and warrant that:

you own the User Content or have all permissions necessary to submit it;
your submission and our permitted use of it will not violate another person’s rights;
the User Content is accurate and not misleading where accuracy is material; and
you have obtained any required permission from each identifiable person appearing in the User Content.

Additional photo, video, publicity, or media releases may apply to program participants and events. If an additional release applies, that release will govern the matters it addresses. Do not submit confidential, proprietary, or sensitive information through a public-facing portion of the Site.

11. Feedback and Suggestions

If you submit ideas, suggestions, recommendations, or other feedback regarding Buddy Up for Life, the Site, or our programs, you agree that we may use that feedback without restriction or compensation to you. This provision does not apply to personal information, which will be handled in accordance with our Privacy Policy.

12. Monitoring and Removal of Content

Buddy Up for Life has the right, but not the obligation, to monitor, review, edit, refuse, or remove User Content. We may disclose User Content or related information when we reasonably believe disclosure is necessary to:

comply with applicable law or legal process;
enforce these Terms;
investigate suspected fraud, misconduct, or security concerns;
respond to claims that content violates another person’s rights; or
protect the rights, safety, and property of Buddy Up for Life, its participants, volunteers, personnel, users, or the public.

We do not endorse User Content and are not responsible for opinions or statements submitted by users.

13. Privacy

Our collection, use, and disclosure of personal information through the Site are described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you acknowledge that internet transmissions are not necessarily private or secure. You should use appropriate caution when transmitting personal or sensitive information online. If these Terms directly conflict with the Privacy Policy regarding our handling of personal information, the Privacy Policy will control.

14. Intellectual Property

The Site and its content, including text, graphics, photographs, videos, logos, trademarks, designs, layouts, software, databases, and other materials, are owned by or licensed to Buddy Up for Life and are protected by copyright, trademark, and other intellectual-property laws. “Buddy Up for Life,” “Where There’s a Will, There’s a Way,” associated logos, and other names, slogans, designs, and marks used by Buddy Up for Life are trademarks or service marks of Buddy Up for Life or their respective owners. Except as expressly permitted by these Terms, you may not copy, reproduce, modify, republish, upload, transmit, distribute, sell, license, publicly display, publicly perform, create derivative works from, or otherwise exploit any part of the Site without prior written permission from Buddy Up for Life or the applicable rights holder.

15. Links to Third-Party Websites

The Site may contain links to websites, applications, platforms, or services operated by third parties. These links are provided for convenience and informational purposes only. Buddy Up for Life does not control and does not necessarily endorse any third-party website, content, product, service, organization, privacy practice, or security practice. Your use of a third-party website is governed by the third party’s terms and policies. You access third-party websites at your own risk, and Buddy Up for Life is not responsible for losses or damages arising from your use of or reliance on third-party content, products, or services.

16. Links to the Site

You may link to publicly available portions of the Site only in accordance with our Website Linking Policy and these Terms. You may not present a link in a manner that falsely suggests that Buddy Up for Life sponsors, endorses, approves, or is affiliated with you or any product, service, organization, or activity. We may revoke permission to link to the Site at any time.

17. Copyright Complaints

Buddy Up for Life respects the intellectual-property rights of others. If you believe that content on the Site infringes your copyright, please send a written notice containing sufficient information to identify:

the copyrighted work you believe has been infringed;
the allegedly infringing material and its location on the Site;
your name and contact information;
a statement that you have a good-faith belief that the disputed use is not authorized;
a statement, made under penalty of perjury, that the information in your notice is accurate and that you are authorized to act for the copyright owner; and
your physical or electronic signature.

18. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL CONTENT, INFORMATION, PRODUCTS, REGISTRATIONS, AND SERVICES AVAILABLE THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. BUDDY UP FOR LIFE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND FREEDOM FROM VIRUSES OR OTHER HARMFUL COMPONENTS. Buddy Up for Life does not warrant that:

the Site will meet your requirements;
access to the Site will be uninterrupted, timely, secure, or error-free;
Site content will be accurate, complete, current, or reliable;
defects or errors will be corrected; or
the Site or its servers will be free from malware or harmful components.

You are responsible for implementing appropriate procedures to protect your devices, information, and data. Some jurisdictions do not permit the exclusion of certain warranties. In such jurisdictions, the foregoing exclusions apply only to the maximum extent permitted by law.

19. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BUDDY UP FOR LIFE AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, CONTRACTORS, INSTRUCTORS, AGENTS, REPRESENTATIVES, LICENSORS, SPONSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR USE, ARISING OUT OF OR RELATING TO:

YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE;
YOUR RELIANCE ON SITE CONTENT;
ANY THIRD-PARTY WEBSITE, PRODUCT, SERVICE, OR CONTENT;
USER CONTENT OR CONDUCT OF ANOTHER USER;
UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR INFORMATION; OR
ANY INTERRUPTION, ERROR, SECURITY INCIDENT, VIRUS, OR OTHER TECHNICAL ISSUE.

This limitation applies regardless of the legal theory asserted and even if Buddy Up for Life was advised that such damages were possible. To the fullest extent permitted by applicable law, Buddy Up for Life’s aggregate liability arising out of or relating to the Site or these Terms will not exceed the greater of:

the amount you paid directly to Buddy Up for Life through the Site during the six months preceding the event giving rise to the claim; or
one hundred dollars ($100).

The foregoing limitations do not apply to liability that cannot lawfully be excluded or limited. Your participation in Buddy Up for Life programs or events may be governed by separate waivers, releases, and assumption-of-risk agreements. Nothing in these Terms supersedes such agreements.

20. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Buddy Up for Life and its affiliates, directors, officers, employees, volunteers, contractors, agents, representatives, licensors, sponsors, and service providers from claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

your violation of these Terms;
your unlawful or improper use of the Site;
your User Content;
your infringement or violation of another person’s rights; or
your fraud, willful misconduct, or negligence.

Buddy Up for Life reserves the right to control the defense and settlement of any matter subject to indemnification. You agree to cooperate reasonably with that defense.

21. Suspension and Termination

We may suspend, restrict, or terminate your access to the Site at any time if we reasonably believe that:

you have violated these Terms;
your conduct creates legal, operational, reputational, security, or safety risks;
suspension or termination is necessary to protect another person; or
suspension or termination is required by law.

Upon termination, all rights granted to you under these Terms will immediately cease. Sections that by their nature should survive termination will survive, including provisions concerning intellectual property, licenses, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

22. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Site or these Terms will be governed by the laws of the State of Ohio, without regard to its conflict-of-laws principles. Subject to any applicable law requiring otherwise, you and Buddy Up for Life agree that any legal proceeding arising out of or relating to the Site or these Terms must be brought exclusively in the state courts located in Franklin County, Ohio, or the United States District Court for the Southern District of Ohio. Each party consents to the personal jurisdiction of those courts and waives any objection based on venue or inconvenient forum.

23. Time Limitation on Claims

To the fullest extent permitted by applicable law, any claim arising out of or relating to the Site or these Terms must be commenced within one year after the claim accrued. A claim not commenced within that period is permanently barred. This provision does not apply where applicable law prohibits shortening the applicable limitations period.

24. International Use

The Site is operated from the United States. We do not represent that the Site or its content is appropriate or available for use in every jurisdiction. Persons who access the Site from outside the United States do so on their own initiative and are responsible for compliance with applicable local laws.

25. Electronic Communications

When you visit the Site, submit a form, make a payment, register for a program, or communicate with us electronically, you consent to receive communications from us electronically. Electronic communications satisfy any legal requirement that a communication be in writing, subject to applicable law. Marketing communications will be sent only as permitted by applicable law, and you may unsubscribe from promotional emails using the instructions included in those emails.

26. Accessibility

Buddy Up for Life seeks to make the Site accessible to users with disabilities. If you experience difficulty accessing Site content or functionality, please contact us using the information below and identify the specific feature or content involved.

27. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Buddy Up for Life may assign or transfer its rights and obligations under these Terms in connection with a reorganization, merger, transfer of assets, operation of programs through an affiliate, or similar transaction.

28. No Waiver

Our failure to exercise or enforce a right or provision of these Terms will not constitute a waiver of that right or provision. A waiver is effective only if it is in writing and signed by an authorized representative of Buddy Up for Life.

29. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or modified to reflect the parties’ intent as closely as possible. The remaining provisions will remain in full force and effect.

30. Entire Agreement

These Terms, together with the Privacy Policy, Website Linking Policy, and any additional policies, terms, consent, release, or other agreement expressly applicable to a particular transaction, program, event, or service, constitute the entire agreement between you and Buddy Up for Life regarding your use of the Site.

Section headings are provided for convenience only and do not affect the interpretation of these Terms.
